TERMS OF SALE 

Bidders MUST review & accept ALL terms of sale prior to placing any bids. If you are not completely certain that you understand AND agree to abide by any part of the information and terms contained herein, DO NOT PLACE BIDS. Contact us for any further clarification at ventureauctions@gmail.com.

*START TIME IS 9:30am on auction day* ALL Public Bidders are required to register for EACH auction using their username & password. ANY Public Bidders registering after 9am on auction day will NOT be approved for that day's auction. NO EXCEPTIONS.

All cash/check payments for THIS auction must be received by 2pm CST on the day of sale ONLY unless otherwise noted elsewhere in any specific individual auction listing. NO payments will be accepted until ALL live auction activity has been completed. Credit card payments for all remaining balances will be processed beginning at 2pm CST, unless otherwise noted elsewhere in any specific individual auction listing.

NO LIVE IN-PERSON BIDDING ALLOWED. Online bidding ONLY. 

All Items are sold AS-IS, with no warranties, expressed or implied, except as to ownership of the items to be sold. Item listings, information, and/or descriptions provided to the bidder by Venture Auctions, the City of Memphis, or its agents, is deemed reliable, but not warranted, and is intended as a guide only. No effort has been made by Venture Auctions, the City of Memphis, or its agents, to inspect or verify the condition, mechanical or otherwise, of any vehicle on this auction. Many vehicles could potentially run and drive; some vehicles will not. Some vehicles will have keys provided to the purchaser; most vehicles will not. 

Auction items are NOT warranted against salvage title, prior flood damage history, odometer discrepancy, or ANY other preexisting title brands. Legal transfer of ownership is guaranteed only in whatever form legal title may be obtained in accordance with existing state titling records. No effort has been made to research or verify the existing title status of any sale item beyond ownership. No sale transaction will be voided, refunded, or otherwise altered due to any unknown and/or undisclosed damage history or title brand of any type on any item sold. Bidder should inspect and research auctions items carefully, up to and including all available title history, before placing bids. Bidder agrees not to base a bid solely on information provided by Venture Auctions, the City of Memphis, or its agents. All bids are final. All sales are final. Bid responsibly! NO EXCEPTIONS. 

"FOR PARTS ONLY DESIGNATIONS:
Auction items listed as FOR PARTS ONLY cannot be registered by purchaser, cannot be resold by purchaser, and must be dismantled and/or scrapped by purchaser only. Buyers of  FOR PARTS ONLY items will receive a paid invoice as memorandum of sale only, with no further transfer-of-ownership documents forthcoming.

PUBLIC BUYING LIMITS:
Per City of Memphis ordinance, non-licensed Individual buyers may only purchase up to 6 vehicles at the impound per calendar year. Once a buyer meets the 6-car limit, bidding privileges at all City of Memphis Impound Auctions will be suspended until January 1 of the following calendar year. If a buyer exceeds the 6-car limit during an auction, all sales after the sixth purchase will be nullified. Unless approved prior to the auction, Bidders with no prior purchase history at Venture Auctions will be limited to ONE PURCHASE ONLY during the auction wherein that first purchase occurs. All remaining prebids will be nullified for the remainder of that auction, and all subsequent live bids for that auction will be declined. Bid Accordingly. Once a Bidder has successfully completed an auction purchase transaction with Venture Auctions, the new buyer restriction will be lifted, and bidder will be subject only to universal purchase limits and/or buying restrictions as otherwise set forth herein. Bidders with no prior purchase history may present proof of identification and payment method IN-PERSON during onsite bidder preview to be considered for multiple purchases, subject to approval by auctioneer. Vehicle purchases at CITY of Memphis Surplus Vehicle & Equipment Auctions are not subject to the 6-car impound purchase limit.

TRANSFER-OF-OWNERSHIP DOCUMENTS:
The Memphis Impound is operated by Vehicle Management Solutions(VMS) in Shelby County, Tennessee. Purchasers from outside Shelby County, Tennessee bear the sole responsibility to be knowledgeable of any applicable motor vehicle documents and/or titling processes and requirements that could affect the transfer of a motor vehicle from the City of Memphis to an individual or business located anywhere outside of Shelby County, Tennessee. Purchasers of motor vehicles at the Memphis Impound Auction will receive a Paid-in-Full invoice from Venture Auctions, and a Bill-of-Sale w/Odometer Statement from the City of Memphis. These documents are wholly sufficient for titling purposes in Shelby County, Tennessee, as defined by state and local regulations. No further documents will be offered by the City of Memphis, VMS, and/or Venture Auctions. Examples of Memphis Impound Vehicle purchase paperwork will be made available to Registered Bidders upon request. The City of Memphis bears sole responsibility to provide all applicable transfer-of-ownership documents, in accordance with the terms described herein, to the purchaser. Upon delivery of paid invoice to purchaser from Venture Auctions, purchaser agrees to indemnify and hold harmless Venture Auctions and/or VMS in all disputes arising between purchaser and seller. This indemnity includes, but is not limited to, any disputes over titling documents, potential refunds, etc. Vehicles purchased at City of Memphis Surplus Vehicle & Equipment Auctions will be accompanied by a clean negotiable title directly from the City of Memphis, when applicable.

PAYMENTS:
Full Settlement must be made Day of Sale. NO EXCEPTIONS. Buyers may pay in-person, with cash, credit card, or certified funds, until 2pm CST on day of auction ONLY unless otherwise noted elsewhere in any specific individual auction listing. Certified funds/cashier's checks must be made payable to VENTURE AUCTIONS. In-person payments are received at the Venture Auctions trailer, located at the Memphis Impound. Unless otherwise noted elsewhere in any specific individual auction listing. 2pm CST, all remaining balances will be automatically charged to the buyer's credit card on file as entered at registration at 2pm CST on day of auction. ANY declined credit card transaction, WILL result in an immediate and permanent ban for that bidder from attending or participating in ANY future Venture Auctions live, online, and webcast auctions. NO EXCEPTIONS. Checks are accepted at auctioneer's sole discretion and must be approved PRIOR to auction. ALL returned checks will be assessed as a $25 returned check fee. At auctioneer's sole discretion, additional returned check fees will accrue at a rate of 2% of total balance owed, compounding daily, from date of payment due through date full payment is completed.

FEES:
10% Buyers Premium applies to all purchases. $10.00 Technology Access Fee per item. 4% convenience fee applies to all credit card payments. 

REMOVAL OF PURCHASES:
All purchases must be removed from impound property by 11:59pm CST on Friday. Items left after this time will incur daily storage fees. Any items remaining at 12:00am CST on Monday will be re-impounded and scheduled for disposal at the next auction. Abandoned vehicles will not be refunded, regardless of resale. Buyer is 100% responsible for the removal of purchased vehicle(s) from auction site. Neither Venture Auctions nor the City of Memphis/VMS will assist with vehicle removal in any way. Repairing and/or working on vehicles in any capacity is strictly prohibited on City of Memphis/VMS property. Purchased vehicles unable to drive properly as-is must be removed from lot by a towing company. Contact the Memphis Impound Lot for a list of approved towing providers. Auction items left on City of Memphis/VMS property after the auction are the sole risk of the buyer. Neither Venture Auctions nor the City of Memphis/VMS will recognize any claims for theft, damage, or loss once an item has been awarded. Bidder agrees to abide by ALL policies set by the Memphis Impound Lot and its management partner, Vehicle Management Solutions, including but not limited to restrictions on access, admittance, and personal belongings. Removal policy for purchases at all City of Memphis Surplus Vehicle & Equipment Auctions will be stated prior to live auctions.

AUCTION PROCEDURES:
The City of Memphis/VMS reserves the right to add, delete, or alter any item prior to the opening of live/webcast bidding. Prebids will not be recognized on any vehicle/item that is removed from auction prior to opening of live/webcast bidding. In the event of a tie-bid between online bidders, the tie goes to the first bid received. In the event of a tie-bid between any online bid and any live bidder during the live webcast auction, the tie goes to the onsite bidder. Auctioneer's decision is final and binding on all parties in the event of any dispute. Live Webcast or Online-Only Auctions involve fallible technology beyond the control of Venture Auctions and the City of Memphis/VMS. In the event of outage, for any reason, Venture Auctions reserves the right to postpone, pause, or restart bidding on individual items, or on the entire auction, at its sole discretion. In the event of auction postponement, ALL previously placed pre-bids or live bids may be nullified at the sole discretion of Venture Auctions. 

DISPUTES:
Once full payment for any item has been transferred from Buyer to Venture Auctions, and from Venture Auctions to the City of Memphis/VMS, the entirety of that transaction between Venture Auctions and Buyer shall be deemed closed and final by all parties. Bidder agrees not to pursue, or to cause any other party to act on bidder's behalf to pursue, any refund of any purchase funds or related fees from Venture Auctions under any circumstance on any transaction between Buyer and Venture Auctions. In the event of ANY post-transaction discrepancy between Bidder and City of Memphis/VMS, Buyer agrees that any such process will be handled exclusively between Bidder and City of Memphis/VMS and will exclude Venture Auctions entirely. Any disputed, declined, or returned credit card transaction will result in an immediate and permanent ban for that bidder from attending or participating in all future Venture Auctions live, online, and webcast auctions. NO EXCEPTIONS.

BIDDER REGISTRATION:
Automated bid approval granted to bidder upon online registration is subject to further review and can be revoked pending the discovery of any irregularities with bidder registration upon such review. Venture Auctions reserves the right, at the sole discretion of the Auctioneer, to require any online registrant to provide additional proof of identification and/or payment information prior to the acceptance of bids at any time, regardless of any potential previous registration, bid, and/or purchase history. Such additional measures may include, but are not limited to, in-person presentation of a valid government-issued ID, as required for all purchasers at City of Memphis auctions prior to completion of any auction transaction.

RESTRICTED BIDDER ACCOUNTS:
Suspended, pending, declined, or otherwise restricted online bidder accounts may only be reviewed and/or approved by auction staff prior to auction day, or following the conclusion of the live auction on day of sale. Absolutely no unapproved, pending, suspended, or otherwise declined bidder account will be addressed prior to auction start time on day of sale. For any suspended, pending, declined, or otherwise restricted online bidder account, all additional bidder identity/payment verification must be presented in-person only. No further documentation submitted by email, text, or other indirect method will be accepted.

FRAUDULENT BIDDER ACCOUNTS:
ANY Bidder registering, or attempting to register, for any auction utilizing ANY false or misleading identification or payment information will be barred from attending or participating in ANY future Venture Auctions live, online, and webcast auctions. ALL electronic records from ANY bidder registration, or attempted registration, found to be fraudulent, or reasonably suspected of the same, will be forwarded to the Memphis Police Department Economic Crimes Bureau, and any other local, state, or federal law enforcement entity with appropriate jurisdiction, for further investigation and/or criminal prosecution. NO EXCEPTIONS.

BIDDER ACCEPTANCE:
Bidder's acknowledgement of the Terms of Sale, in its entirety, and the bidder's agreement to abide by the same, and the bidder's consent to the full enforcement of the same, are implied by bidder's voluntary decision to register for and participate in the auction, and further expressed by bidder's direct and explicit electronic acknowledgement and acceptance of the Terms of Sale prior to being approved to participate in the auction. All electronic records of bidder's registration and bidder's other online activity, limited exclusively to the parameters of the auction as detailed herein and within the published auction listing, including direct evidence of bidder's explicit acceptance of the Terms of Sale, will be archived and maintained by Venture Auctions on behalf of the City of Memphis/VMS, and made available to City of Memphis/VMS as required to resolve any potential dispute arising either directly or indirectly from bidder activity related to the auction, and occurring before, during, or after the auction has concluded. 
Announcements on the day of auction take precedence over any printed or previous information.
